These Terms and Conditions (
“Terms”) and all other documents referred to in these Terms, form a legally binding contract between you, the Affiliate Partner, and
J-Profit Operations Limited and/or Company Group. These Terms govern your access to and use of

“Website” or
“Affiliate Platform”) and the associated services as further described below (together with the Website, the
“Service” or the
“Services”) for the purpose of participation in the Affiliate Program.
In these Terms “you”, “your” or “Affiliate Partner” shall refer to any individual or entity who accepts these Terms via registration on the
https://partnerdating.com/. The terms “we”, “us”, “our” and “Company” refer to
J-Profit Operations Limited and/or Company Group.
Your acceptance of these Terms signifies that you have read, understand, acknowledge and agree to be bound by this Terms and Privacy Policy, which are incorporated herein by reference. By signing-up on, accessing or using the Website, you accept these Terms and agree to all of the terms, conditions and notices contained or referenced herein. By signing-up on, accessing or using the Website, you accept these Terms and agree to all of the terms, conditions and notices contained or referenced herein. Subject to pre-approval, we will send you the Affiliate Partner Agreement (
“APA”) upon signing of which your participation in the Affiliate Program will be confirmed. Please note, that explicit details of your participation in the Affiliate Program are set in APA. Once confirmed, these Terms and the APA constitute an entire agreement (
“Agreement”) between Company and Affiliate Partner and supersedes all prior representations, understandings, undertakings or agreements with respect to the subject matter hereof.
1. DefinitionsAccount - your account opened with
https://partnerdating.com/ and accepted by us in order for you to become our Affiliate Program member.
Advertisement - means the advertisement, including any copy and text ads, graphic, sound, video, programming code and/or other content that comprises the advertisement, as well as the websites to which an advertisement is linked, if applicable.
Affiliate Link - refers to the unique tracking links provided by the Company to the Affiliate Partner for the purposes of tracking referrals and calculating remuneration.
Affiliate Partner Agreement - the mandatory agreement between Parties, that sets forth the terms and conditions of our cooperation and participation in our Affiliate Program.
Company Group - means and include J-Profit Operations Limited parents, subsidiaries, divisions or other affiliated companies, partnerships, assigns, other entities that are controlled by or are under common control with the Company.
Customer - user or member of the Company’s websites who registered on the Company’s websites via Affiliate Link and made at least one Qualified Sale.
Display Advertising - a form of online advertising where Company's message is shown on a web page, generally set off in a box at the top or bottom or to one side of the content of the page.
E-mail - an e-mail address of the account manager responsible for communication from our side. Please communicate with him in case of any questions.
Landing pages - a web page which serves as the entry point for a website or a particular section of a website.
Opt In - refers to an individual giving an Affiliate Partner permission to use data collected from or about the individual for a particular reason, such as to market the company’s products and services, send marketing messages, e-mails, etc.
Qualified Sale - means a sale of the Company's products or services to a Customer referred by the Affiliate Partner, where the Customer has paid in full for the products or services and such sale has been confirmed by the Company.
2. Services 2.1. Company provides access to Affiliate Platform for Affiliate Partner by creating Account on Affiliate Platform. The Affiliate Platform allows Affiliate Partner to:
- create Advertisement;
- generate Affiliate Link;
- check the statistics of advertising campaigns.
We reserve the right at any time to modify or discontinue, temporarily or permanently, the Service (or any part thereof) at our sole discretion with or without notice. You agree that we shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.
2.2. We do not accept Affiliate Partners from the following countries: Afghanistan, all African countries (excluding Republic of South Africa), Bangladesh, India, Iraq, Iran, Jordan, North Korea, Russia, or from other US/EU/UN embargoed or sanctioned countries or jurisdictions that are subject to U.S./EU/UN financial sanctions, AML restrictions, or legal constraints on online advertising.
2.3. Access to Account is granted only after the APA between Parties have been executed. The usage of Affiliate Platform without prior signing of the APA is not allowed.
2.4. You are responsible for maintaining the confidentiality of your login credentials and password that you designate during the registration process, and you are fully responsible for all activities that occur under your name and password. You agree to (a) immediately notify us of any unauthorized use of your name or password or any other breach of security, and (b) ensure that you exit from your account at the end of each session. We shall not be liable for any loss or damage arising from your failure to comply with this provision.
2.5. Affiliate Partner shall use the generated Advertisement to display them and perform the user generation services for the Company as set in the APA.
2.6. Advertisement is created using Company provided Creative materials, but if Affiliate Partner wishes to use their own creative materials and/or to amend Company provided Creative materials then it should be agreed by the Company in advance prior using such.
3. Creative materials3.1. Creative materials Restrictions:
Affiliate Partner is allowed to use creative materials provided by Company. If Affiliate Partner would like to create own creative materials to promote sites/services of Company, those materials should be reviewed and approved in advance by Company.
Approval may be received only from e-mail of Company's account manager allocated to Affiliate Partner.
3.2. Affiliate Partner agrees that he will be fully liable for all possible fines and claims, damages, or penalties of third parties in case of using creative materials which were not approved by Company or which violate the rules of these Terms or APA.
3.3. Affiliate Partner has no right to use the Customer's or any individual's data, including photos and their profiles by any way, including coping, revision, placing in any source of information, including ANY other websites (belonging to us or to any third parties) and in creative materials/Advertisements. Such activity is considered to be the infringement of our intellectual property rights and violation of individual's rights and it may cause non-payment of the remuneration to you, your obligation to reimburse all of damages (our and individuals) and is prosecuted by law.
3.4. NO PART AND NO CONTENT OF ANY CREATIVE MATERIALS MAY BE COPIED, REPRODUCED, REPUBLISHED, POSTED, PUBLICLY DISPLAYED, ENCODED, TRANSLATED, TRANSMITTED OR DISTRIBUTED IN ANY WAY (INCLUDING "MIRRORING" AND SCREENSHOTS) FOR PUBLICATION OR DISTRIBUTION OR FOR ANY COMMERCIAL AND NON-COMMERCIAL ENTERPRISE.
4. Services Terms, Conditions and Restrictions4.1. Traffic restrictions:
4.1.1. Allowed Traffic Types Affiliate Partner is authorized to provide:
- Web display;
- E-mail traffic (Opt-In basis only);
- Search advertising (with keywords restrictions, see below);
- Mobile web (including Tablets), Mobile in-app traffic;
- Video (all IAB formats are permitted);
- Adult traffic must always be agreed by the Company in writing (e-mail).
4.1.2. Traffic Restrictions Affiliate Partner is strictly prohibited to provide:
- Incentives;
- Chat-box/bot traffic;
- Facebook (including Facebook network) and Twitter promotion;
- SMS - traffic;
- POP-Traffic;
- Traffic from messengers.
4.1.3. The following additional limitations are included as non-valid leads:
- Conversions originating from Content Locking;
- Conversions originating from incentivized traffic of any kind (including but not limited to: giving a reward whether financial or virtual to a user for completing the steps required for a valid conversion);
- Conversions originating from the misleading of the user - including users who were led to believe they will receive something else other than the content provided by the Company;
- Conversions originating from Proxies, Disposable/free to use e-mail addresses and/or repeating IP ranges.
4.1.4. Company may not pay for the Affiliate Partner’s services in case traffic is going from unidentified sources and Affiliate Partner refuses or can't disclose these sources.
4.1.5. We retain the right not to pay you a remuneration/commission if traffic was sent without the Company's prior approval.
4.2. Key Words and Wordings Restrictions:
4.2.1. Affiliate Partner is not permitted to advertise in search advertising and organic search using keywords specific to harassment, scam, fraud, fake dating, fake profiles, sex trafficking, sexual exploitation, adult dating, escort services, porn, illegal matchmaking, guaranteed love, 100% match, instant marriage, free brides, abusive behavior, inappropriate content, explicit material, cyberbullying, fake love and variations in terms of punctuation, spelling, the addition of words and/or the addition of top-level domains. It is restricted to use any possible combinations of nationality, location and\or race and gender specific words, marital status (e.g. Ukrainian women, Serbian singles, greek ladies, American men, Kiev singles etc.). Any kind of generic keyword combinations specific to dating is also prohibited (e.g. dating site, online date, meet online, premium dating etc.).
4.2.2. Affiliate Partner is not permitted to use the following words as metatags, keywords, hidden text, texts for advertising materials or other terms: scam, fraud, fake, adult, escort, porn, trafficking, exploitation, harassment, misleading, scammer, cheating, fake profiles, illegal, inappropriate, spam, fake ads, stolen data.
4.3. E-mail traffic Terms and Restrictions:
4.3.1. Affiliate Partner may only send emails advertising Company\'s operated web-sites to persons who have Opted-In to receiving commercial emails either from Affiliate Partner and/or Affiliate Partner\'s marketing affiliates and have legally transferred such permission to the Affiliate Partner.
4.3.2. The email must comply fully with the
FTC Guidelines for Commercial emails.
Specifically, the following FTC guidelines apply:
- Don't use false or misleading header information. Your "From," "To," "Reply-To," and routing information including the originating domain name and email address must be accurate and identify the person or business who initiated the message.
- Don't use deceptive subject lines. The subject line must accurately reflect the content of the message.
- Identify the message as an ad.
- The email must have an operational opt out link. Affiliate Partner must obtain the email opt out information from Company.
4.3.3. The e-mail must comply with all national and state laws. For e-mails in the United States, the federal CAN-SPAM Act applies. Many states, specifically including California, also have laws regulating commercial emails. It is the Affiliate Partner’s responsibility to comply with these laws.
4.3.4. By joining this Affiliate Program and sending commercial e-mails, Affiliate Partner agrees to indemnify Company and its affiliates/partners/directors/owners, from all claims that the e-mails, which Affiliate Partner sends, do not comply with applicable law. Affiliate Partner will hold Company and its affiliates harmless for all such claims, including reasonable attorneys' fees expended in defending such claims and all damages, penalties and other monetary awards. lt\'s the responsibility of the Affiliate Partner to comply with the law and to receive from individuals all the required permissions and consents (Op-Ins) to receive marketing materials.
5. Rights and Obligations5.1. Affiliate Partner's obligations:
5.1.1. Company acknowledges that the sole obligation of Affiliate Partner is to conduct the advertising campaigns as described in the Agreement.
5.1.2. Affiliate Partner shall deploy all technically and economically reasonable resources to detect fraud and non-compliant traffic patterns and block such traffic from its traffic delivery to the Company.
5.1.3. Affiliate Partner is obliged to notify Company immediately about any suspicious traffic and/or any misleading traffic delivered from his sources.
5.1.4. In case Affiliate Partner violates the Terms and/or APA it has to compensate damages caused by such violation to Company and/or any third party.
5.1.5. To provide required information to Company which Company may reasonably request.
5.2. Affiliate Partner's rights:
5.2.1. To request additional information from the Company about the Affiliate Program.
5.2.2. To receive remuneration for the participation in the Affiliate Program during the term of Agreement subject to its terms and the terms hereof.
5.3. Company's obligations:
5.3.1. To provide access to the Affiliate Platform;
5.3.2. To pay for all Qualified Sales according to terms set in APA.
5.4. Company's rights:
5.4.1. Company retains the right to redirect traffic or leads from Affiliate link to any of its products or landing pages which provide similar services for users without Affiliate Partner's prior consent. All this traffic and conversions will be paid according to APA;
5.4.2. Company retains the right not to pay for leads or traffic that violates these Terms or APA;
5.4.3. Company retains the right not to pay for leads or traffic from geographic locations, gender and age which are not mentioned in Terms or APA or which has not been agreed by e-mail. Geographic location is verified by IP, gender and age are verified by the information users fill in the form via registration.
6. Warranties 6.1. Affiliate Partner represents and warrants:
6.1.1. that all obligations owed to third parties with respect to the activities contemplated under the Agreement, will be fully satisfied by Affiliate Partner, so that the Company will not have any obligations with respect thereto
6.1.2. that Affiliate Partner will comply with all applicable laws, rules and regulations of the country of his residence and/or in the country in which Affiliate Partner’s services are to be provided in accordance with the Agreement. In the event any Services being performed by Affiliate Partner require any permits and/or licenses, Affiliate Partner guaranty and warrant that all such services shall be obtained from relevant authorities or entities, which shall issue and/or distribute such permits/licenses and/or Affiliate Partner will obtain such permit/license himself;
6.2. Affiliate Partner shall not make any representations, warranties or other statements concerning the Company, Company’s sites, any of Company's products or services, or Company's site policies, except as expressly authorized by the Agreement.
7. Termination7.1. Either Party may terminate the Agreement, subject to terms of APA. Upon such termination the Affiliate Partner will restrict access to the Account from the date of termination.
7.2. In the event that your account has not been active or you have not otherwise accessed the Service for 6 months, your account may be terminated by us without notice.
7.3. We may suspend or terminate your use of our Services at any time, at our sole discretion without cause and without notice.
8. Miscellaneous8.1. Company, at its sole and absolute discretion, may change or modify this Terms and any policies that are incorporated herein, at any time, and such changes or modifications shall be effective immediately upon posting to the Website. By using the Website you agree to be bound by these Terms. Please don't use the Website if you don't agree to these Terms.
IF ANY MODIFICATION IS UNACCEPTABLE TO AFFILIATE PARTNER, THE ONLY RECOURSE IS TO TERMINATE THE AGREEMENT AND PARTICIPATION IN AFFILIATE PROGRAM. IF AFFILIATE PARTNER CONTINUES PARTICIPATION FOLLOWING OUR POSTING OF AN AMENDMENT NOTICE OR NEW VERSION OF THE TERMS ON WEBSITE, IT WILL BE CONSIDERED AS AN ACCEPTANCE OF THE AMENDED VERSION OF THE TERMS AND IT SHALL BE LEGALLY BINDING TO AFFILIATE PARTNER.
8.2. You acknowledge and agree that (i) Company may or may not notify you of such changes or modifications prior to posting them to Website and (ii) your continued participation in the Affiliate Program and use of Website after such changes or modifications have been made (as indicated by the “Last Revised” date) shall constitute your acceptance of this Terms as last revised. If you do not agree to be bound by these Terms as last revised, you must terminate your use of Website and participation in Affiliate Program or write an e-mail to us (to our e-mail) with a request to terminate your participation in Affiliate Program. In addition, while not required, Company may occasionally notify you of changes or modifications to these Terms by e-mail.
8.3. Company reserves the right to suspend your participation in the Affiliate Program in the event of any breach of these Terms or APA.
8.4. Affiliate Partner acknowledges that he has read these Terms and agrees to all its conditions. Affiliate Partner have independently evaluated the desirability of participating in the Affiliate Program and are not relying on any representation, guarantee, or statement other than as set forth in these Terms or APA.
8.5. In the event of any conflict and/or contradiction and/or inconsistency between
the Terms and the APA, the terms of the APA shall prevail.
9. Privacy Protection9.1. Each Party shall comply with all data protection and privacy regulations applicable to it in respect of any personally identifying information relating to any individual.
9.2. If Affiliate Partner receives/obtains/saves any personal data (as defined by Regulation (EU) 2016/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data, and repealing Directive 95/46/EC (General Data Protection Regulation)) Affiliate Partner shall (and ensure that its employees, contractors and agents shall) ensure that (i) Affiliate Partner fully complies with the provisions of the General Data Protection Regulation and/or any other applicable regulation; (ii) only deal with the data to fulfill Affiliate Partners obligations under this document and (iii) shall not use such personal data except as expressly authorized by the individual. Affiliate Partner shall indemnify and keep Company indemnified for any breach of the General Data Protection Regulation or any other data protection and privacy regulations which renders Company liable for any costs, claims, fines, or expenses, howsoever arising.
